1. Acceptance of Terms
By accessing or using UserContext (“the Service”), operated by UserContext, Inc. (“we”, “our”, “us”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Service Description
UserContext is an AI-powered observability platform that helps teams identify user friction and product opportunities. The Service includes:
- A client-side JavaScript widget for capturing interaction data
- An API for ingesting and processing captured data
- A web dashboard for viewing issues, AI analysis, and user journey timelines
- Integrations with third-party tools (Slack, Jira, Linear, etc.)
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity that occurs under your account
- Ensuring that your use of the Service complies with applicable laws and regulations
- Providing accurate, current, and complete information during registration
You must notify us immediately at support@usercontext.com if you become aware of any unauthorized access to your account.
4. Acceptable Use
You agree not to:
- Use the Service to intentionally collect sensitive personal data (e.g., passwords, financial information, health records) without appropriate safeguards
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to violate the privacy rights of any individual
- Interfere with or disrupt the Service or its underlying infrastructure
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service in any way that violates applicable laws or regulations
5. Data Ownership
Your data remains yours. You retain all rights, title, and interest in the data collected through your use of the Service. We do not claim ownership of your project data, captured logs, or issue reports.
You grant us a limited license to process your data solely for the purpose of providing the Service, including AI-powered analysis and issue detection. We will not use your data for any other purpose without your explicit consent.
6. Intellectual Property
The Service, including its software, design, documentation, and AI models, is owned by UserContext, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
The UserContext widget SDK is provided under an open-source license. Refer to the SDK repository for specific license terms.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages, natural disasters, or cyberattacks.
8. Payment Terms
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' written notice. Free tier usage is subject to the limits described on our pricing page.
9. Limitation of Liability
To the maximum extent permitted by applicable law, UserContext, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless UserContext, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.
11. Termination
Either party may terminate this agreement at any time. You may cancel your account through the dashboard settings. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice in the dashboard at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance.
